By accessing or using ZeroDay's AI-powered development platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

ZeroDay provides an AI-powered development automation platform that includes code generation, security scanning, compliance reporting, and deployment automation tools. The Service is provided on a subscription basis with various pricing tiers.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 16 years old to use the Service
  • One person or legal entity may not maintain more than one free account
  • You are responsible for all activities that occur under your account

4. Acceptable Use

4.1 Permitted Use

You may use the Service for:

  • Generating code for your own projects or your organization's projects
  • Scanning code for security vulnerabilities and compliance issues
  • Deploying applications to your own infrastructure
  • Collaborating with team members within your organization

4.2 Prohibited Use

You may not:

  • Use the Service for any illegal purpose or in violation of any laws
  • Reverse engineer, decompile, or attempt to extract source code from our AI models
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to generate malicious code or conduct security attacks
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Upload viruses, malware, or other harmful code
  • Abuse or overload our infrastructure through excessive API calls
  • Use the Service to infringe on intellectual property rights

5. Intellectual Property

5.1 Your Content

You retain all rights to code and content you submit to the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service.

5.2 Generated Code

Code generated by our AI models is provided to you under a permissive license. However, you are responsible for ensuring generated code does not infringe third-party rights and complies with applicable licenses.

5.3 Our Platform

The Service, including all software, algorithms, and documentation, is protected by copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you.

6. Subscription and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice to existing subscribers
  • Failure to pay may result in service suspension or termination
  • Enterprise customers may have custom payment terms per their agreement

7. Service Level and Availability

We strive to maintain 99.9% uptime for paid plans. However, the Service is provided "as is" and we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. We implement security measures to protect your data, but you acknowledge that no system is completely secure.

9. Termination

9.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with or without notice.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period. You remain liable for all charges incurred before termination.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT GENERATED CODE WILL BE FREE OF BUGS OR SECURITY VULNERABILITIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERODAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ZeroDay from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may update these Terms from time to time and will notify you of material changes. Continued use after changes constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved through binding arbitration in London, except that either party may seek injunctive relief in court.

15. Export Compliance

You agree to comply with all applicable export and import laws. You may not use the Service in countries subject to trade embargoes or sanctions.

16. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and ZeroDay
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
